These Terms of Service ("Terms") govern your use of the EMERGENanny mobile application (the "App") operated by Emergenanny LLC. By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the App. By using the App you represent that you meet these requirements.
2. What EMERGENanny is — and is not
EMERGENanny is a venue that helps families discover and connect with independent babysitters and local childcare businesses. We are not a babysitting service, employment agency, or staffing firm. We do not employ, supervise, direct, or control any caregiver or business, and we are not a party to any arrangement made between users. Caregivers and businesses are independent of Emergenanny LLC.
3. Your account
- Provide accurate, current information and keep it up to date.
- You are responsible for activity on your account and for maintaining its security.
- Do not impersonate others or create accounts for anyone under 18.
4. Acceptable use
You agree not to: post false, misleading, unlawful, harassing, or harmful content; misuse messaging or video calls; harvest other users' information; attempt to circumvent security; or use the App for any unlawful purpose. We may remove content and suspend or terminate accounts that violate these Terms.
5. Bookings and payments
Any booking, schedule, rate, or payment arrangement is made directly between users. The App displays rates and booking details for convenience but does not process payments and is not responsible for them.
6. Video and voice calls
The App offers in‑app video/voice calls carried by a third‑party provider (Agora). You agree to use calls lawfully and not to record or misuse them without consent.
7. Reviews and user content
You retain ownership of content you submit (profiles, photos, messages, reviews). You grant Emergenanny LLC a non‑exclusive, worldwide, royalty‑free license to host and display that content as needed to operate the App. You are responsible for the content you submit and must have the rights to share it.
8. Verification and documents
Caregivers and businesses may upload verification or background‑check documents. Submitting documents does not guarantee approval, and approval (if granted) is not a warranty of any person or business.
9. Intellectual property
The App, including its software, design, and trademarks, is owned by Emergenanny LLC and protected by law. We grant you a limited, non‑transferable, revocable license to use the App for its intended purpose.
10. Termination
You may stop using the App and delete your account at any time (see Delete your account). We may suspend or terminate access if you violate these Terms or to protect users.
11. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE, OR THAT ANY USER IS SUITABLE OR TRUSTWORTHY.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Emergenanny LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM INTERACTIONS BETWEEN USERS OR THE CONDUCT OF ANY CAREGIVER, FAMILY, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to indemnify and hold Emergenanny LLC harmless from claims arising out of your use of the App, your content, or your interactions with other users.
14. Governing law
These Terms are governed by the laws of the State of [State], without regard to its conflict‑of‑laws rules.
15. Changes
We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance.
